These Terms and Conditions (“Terms”) govern your subscription to and use of Synagie’s on-demand customer service modules, (“Services”) which may include any of the following:
These Terms are in addition to the Synagie SaaS Platform Terms of Use and Synagie Privacy Policy, which are incorporated herein by reference.
1. Scope of Services
1.1 The Services are modular and “on-demand” features made available via the Synagie Marketplace to support eCommerce customer engagement, moderation and automation.
1.2 You acknowledge that each service operates in conjunction with your active Synagie SaaS subscription plan and may require additional configuration, scripts, templates, or account access to be fully activated.
2. Subscription and Billing
2.1 By proceeding to payment, you agree to subscribe to the selected Service(s) and to pay the applicable SaaS Subscription Plans published at https://www.synagie.com/pricing.
2.2. Services are billed either on a one-time or recurring basis as specified at checkout.
2.3. All Services require an active Synagie SaaS subscription. If your SaaS subscription is suspended or terminated, access to these Services will be automatically paused or cancelled in accordance with the SaaS Terms of Use.
2.4 All fees are non-refundable once the service is activated or delivered, regardless of usage, unless expressly agreed by Synagie in writing.
2.5. A valid payment method must be maintained. Failure to make payment may result in service suspension, deactivation, or termination in accordance with the SaaS Terms.
3. Use of Services and Technology
3.1. You agree to provide accurate, lawful, and non-infringing content for Synagie’s use in performing the Services, including templates, scripts, brand tone guidance, and escalation workflows.
3.2. Synagie may deploy its own tools or rely on third-party platforms, software, or artificial intelligence (“AI”) technologies to perform the Services. This may include AI-driven messaging, automated reviews, natural language processing, data enrichment, or ticket management systems.
3.3. While Synagie exercises reasonable diligence in selecting its technology stack, you acknowledge and accept that such third-party tools or AI models may introduce variability, or content limitations.
3.4. Synagie does not guarantee continuous accuracy, availability, or error-free performance of any automated Service. You acknowledge that AI-generated responses or reviews may vary in accuracy and completeness and agree to supervise outputs where applicable.
4. Personal Data Protection
4.1 In delivering the Services, Synagie may process personal data on your behalf. You acknowledge that any personal data collected, transferred, or managed by Synagie in connection with these Services will be handled in accordance with the Synagie Platform Privacy Policy.
4.2 You agree not to provide or instruct Synagie to process any personal data beyond what is strictly necessary for the performance of the Services.
4.3 Both parties shall comply with applicable data protection laws, including those under Singapore’s Personal Data Protection Act (PDPA), and shall take commercially reasonable steps to protect such data against loss, misuse, unauthorized access or disclosure.
5. Confidentiality
5.1 Each party agrees to treat all business, technical, and operational information received from the other party as confidential (“Confidential Information”), including scripts, business rules, SOPs, platform credentials, and customer data.
5.2 Confidential Information shall not be disclosed to any third party without prior written consent, except to the receiving party’s personnel or subcontractors under binding confidentiality obligations and solely for the purpose of delivering the Services.
5.3 These confidentiality obligations survive termination of the Services for a period of five (5) years.
6. Intellectual Property
6.1 You retain ownership of your brand, content, materials, and trademarks provided to Synagie for use in the Services. You grant Synagie a limited, non-exclusive license to use such materials solely for the purpose of delivering the Services.
6.2 Synagie retains all rights to its proprietary tools, content, templates, automations, and methodologies used or developed in connection with the Services.
7. Indemnity
You shall indemnify and hold harmless Synagie, its affiliates, officers, employees, and subcontractors from any losses, damages, claims or expenses (including legal fees) arising from:
8. Disclaimers and Liability
8.1 The Services are provided “as is” and “as available”. Synagie disclaims all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement.
8.2 Synagie may rely on third-party software and AI functionality to provide the Services. In no event shall Synagie or its affiliates be liable for any lost profits, revenues, goodwill, or indirect, special, incidental, consequential, cover, business interruption or punitive damages, whether in contract or tort, even if advised of the possibility of such damages or if the remedy fails of its essential purpose.
8.3 This exclusion does not apply to the extent prohibited by applicable law.

9.1 You may cancel your Service subscription via the Synagie Platform in accordance with the SaaS Terms. No refunds will be issued for Services that have commenced or been delivered.

10. Governing Law and Dispute Resolution
These Terms are governed by the laws of Singapore. Disputes not resolved within 30 days by informal negotiation shall be referred to arbitration in Singapore under the SIAC Rules. Proceedings shall be in English and binding.
11. Amendments: We may, from time to time and at any time, update or revise these Terms. We will use commercially reasonable methods to notify you of such revisions, such as by posting a revised version on our Platform. Such update or revision is effective upon publication on our Platform. You are responsible for ensuring that you have read the most current version of these Terms. Your continued access and/or use of our Platform will be deemed to constitute your conclusive acceptance of the updated or revised Terms.
